Acceptance Criteria

A foreign-invested partnership company may apply for establishment when all of the following conditions are met:

1. The company shall be established within the territory of China by two or more foreign companies (individuals), or at least one foreign company (individual) and a Chinese natural person, legal person or other organization.

2. The company shall have written partnership agreement.

3. The company shall have the capital contribution subscribed or actually paid by the partners.

4. The company shall have a name and fixed business premises.

5. The company shall be established by more than two and less than fifty partners, unless legal provisions have a requirement. The company is limited by shares or liability shall have at least one general partner.

6. A professional service institution that provides paid services to clients with professional knowledge and expertise might be established as a special general partnership company.

Application Materials

1. Application Form for Registration (Filing) of Partnership Company

2. Partnership agreement signed by all partners

3. The principal qualification documents of all partners or the identity certificate and the residence certificate of partners

4. The proof of legal use of the domicile (business premises) and relevant documents

5. A copy of pre-approval documents or licenses issued by related authorities

6. Professional qualification certificates and relevant documents of partners of a special general partnership company.
